1. Acceptance of Terms

Welcome to FitEdge. These Terms of Use ("Terms") govern your access to and use of FitEdge, a product owned and operated by Canopy Mind, Inc. ("Company," "we," "our," or "us"). These Terms apply to the FitEdge mobile application, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Definitions

For the purposes of these Terms:

• "Company" refers to Canopy Mind, Inc., a Delaware corporation.
• "Service" refers to the FitEdge mobile application, website, and related services.
• "You" or "User" refers to the individual accessing or using the Service.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information when creating an account
• You will maintain the security of your account credentials
• All information you provide is truthful and accurate

4. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Use of the Service

4.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

4.2 Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Upload viruses, malware, or other malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect or store personal data about other users
• Use the Service to distribute spam or unsolicited communications

6. Health and Fitness Disclaimer

• Always consult with a qualified healthcare provider before starting any fitness or nutrition program
• The AI coach provides general fitness guidance and is not a licensed healthcare professional
• Workout recommendations may not be suitable for everyone, especially those with health conditions
• Stop exercising immediately if you experience pain, dizziness, or discomfort
• We are not responsible for injuries or health issues that may result from using the Service
• Nutrition information is for educational purposes only and not a substitute for dietitian advice

7. Subscription and Payments

7.1 Subscription Plans

FitEdge offers subscription-based access to premium features. By subscribing, you agree to pay the applicable fees and authorize us to charge your payment method.

7.2 Billing

• Subscriptions automatically renew unless canceled before the renewal date
• You will be charged at the beginning of each billing period
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law
• Payment processing is handled by third-party providers

7.3 Cancellation

You may cancel your subscription at any time through your account settings or the app store. Cancellation takes effect at the end of your current billing period. You will retain access to premium features until the end of the paid period.

7.4 Free Trial

We may offer free trial periods. If you do not cancel before the trial ends, you will be automatically charged for a subscription. You may only use one free trial per account.

8. User Content

8.1 Your Content

You may submit, upload, or share content through the Service, including photos, workout data, nutrition logs, and messages to the AI coach ("User Content"). You retain ownership of your User Content.

8.2 License to Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service. This includes using your data to train and improve our AI models in an anonymized and aggregated manner.

8.3 Content Standards

User Content must not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Contain hateful, abusive, or discriminatory content
• Include explicit or inappropriate material
• Promote dangerous or harmful activities

9. Intellectual Property

The Service, including all content, features, and functionality, is owned by Canopy Mind, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Remove copyright or proprietary notices
• Use our trademarks or branding without permission
• Frame or mirror any part of the Service

10. Third-Party Services

The Service may integrate with third-party services (fitness trackers, payment processors, etc.). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CANOPY MIND, INC. AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Personal injury or property damage resulting from your use of the Service
• Unauthorized access to or alteration of your data
• Conduct of third parties on the Service

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Canopy Mind, Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

14. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Technical or security reasons
• At our sole discretion

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, and limitations of liability.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Canopy Mind, Inc.
• Waiver: Our failure to enforce any provision shall not constitute a waiver
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect
• Assignment: You may not assign these Terms; we may assign them without restriction
• No Agency: These Terms do not create any agency, partnership, or joint venture
